These Wholesale Terms & Conditions apply to all wholesale purchases made from Hooga Playroom. By placing an order, the retailer or buyer agrees to comply with these terms.

1. Wholesale Accounts

  • Only authorised retailers that fit with the Hooga Playroom company values can get wholesale accounts. 

  • We keep the right to choose whether to accept or reject applications.

2. Pricing & VAT

  • All wholesale prices are in GBP and are exclusive of VAT, delivery charges, customs duties, and any other applicable taxes unless stated otherwise. VAT will be charged at the applicable UK rate.

  • Hooga Playroom reserves the right to amend prices at any time. Price changes will not affect orders already confirmed.

3. Minimum Order Values

  • First order minimum value of £500

  • Reorder minimum value of £150

  • Minimum order values may be reviewed or amended at any time.

4. Payment Terms

  • Invoices are issued when goods are ready for dispatch, and payment terms are as agreed in writing.

  • Interest is charges on overdue payments, and the supplier may suspend deliveries due to non-payment.

  • Payment terms strictly proforma unless prior agreement by Hooga Playroom and subject to Credit Status.

  • Late payments may result in delayed shipments or suspension of the wholesale account.

  • We accept payment via Bank Transfer (BACS).

5. Delivery Terms

  • Delivery to UK address only

  • UK Mainland: Orders over 500.00 (excl. VAT) qualify for free standard delivery.

  • Below Threshold: Orders under this amount will be charged a flat shipping rate of £15.00

  • Orders are typically dispatched within 3–7 working days, subject to stock availability. During peak seasons, dispatch times may vary.

6. Ownership & Risk

  • Risk passes to the retailer upon delivery.

  • Hooga Playroom retains ownership of the goods until full payment is made.

7. Damages, Faults & Shortages

  • The Retailer/Buyer must inspect all shipments immediately upon arrival.

  • To report damaged, faulty, or missing items, email info@hoogaplayroom.com within 7 business days of delivery. We may not accept claims that come in after this time.

  • The email must include the Order Number and clear photographs of the damage/defect.

  • The Supplier may replace the defective goods or refund the purchase price, but no further liability is accepted.

8. Confidentiality & Intellectual Property

  • Hooga Playroom trademarks and intellectual property rights remain exclusive to the Supplier

  • Both Parties afree to keep Confidential information confidential indefinitely.

  • The buyer indemnifies the Supplier against third-party claims related to intellectual property rights.

9. Marketing & Intellectual Property

  • Hooga Playroom owns all branding, images, and marketing materials.

  • Retailers can only use approved assets to promote Hooga Playroom products and cannot change them.

10. Product Safety & Compliance

All Hooga Playroom products meet UK and EU safety standards. Retailers must follow local laws when selling products.

12. Force Majeure

Hooga Playroom shall not be liable for failure or delay in performance caused by circumstances beyond our reasonable control.

13. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales.

14. Amendments

Hooga Playroom reserves the right to update these Wholesale Terms & Conditions at any time. The latest version will apply to all new orders.

 15. Termination

Hooga Playroom reserves the right to close a wholesale account at any time if the Retailer breaches these Terms.

By placing an order with Hooga Playroom, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
