Pricing & VAT

  • All wholesale prices are in GBP and are exclusive of VAT, delivery charges, customs duties, and any other applicable taxes unless stated otherwise. VAT will be charged at the applicable UK rate.

  • Hooga Playroom reserves the right to amend prices at any time. Price changes will not affect orders already confirmed.

Minimum Order Values

  • Minimum value of £300

  • Minimum order values may be reviewed or amended at any time.

Payment Terms

  • Invoices are issued when goods are ready for dispatch, and payment terms are as agreed in writing.

  • Interest is charges on overdue payments, and the supplier may suspend deliveries due to non-payment.

  • Payment terms strictly proforma unless prior agreement by Hooga Playroom and subject to Credit Status.

Delivery Terms (UK Mainland Delivery)

  • For UK carriage paid minimum order value £500

  • Orders below this threshold are charged £15.00

  • Orders are typically dispatched within 3–7 working days, subject to stock availability. During peak seasons, dispatch times may vary.

Damages, Faults & Shortages

  • To report damaged, faulty, or missing items, email info@hoogaplayroom.com within 7 business days of delivery.

  • We may not accept claims that come in after this time.

Terms and Conditions

1. Interpretation & Definitions

1.1 In these Terms and Conditions (“Conditions”), the following definitions apply:

  • Business Day: a day other than a Saturday, Sunday or public holiday in England.
  • Business Hours: 9.00am to 5.00pm on a Business Day.
  • Customer: the business, retailer or distributor purchasing Goods from Hooga Playroom.
  • Goods: the products supplied by Hooga Playroom as set out in the Order.
  • Order: the Customer’s order for Goods, whether written, online or confirmed by email.
  • Supplier: Hooga Playroom (Kiin Ltd), registered in England and Wales.
  • Contract: the agreement between Hooga Playroom and the Customer consisting of the Order and these Conditions.

1.2 These Conditions apply to all Contracts to the exclusion of any other terms the Customer seeks to impose.

2. Basis of Contract

2.1 An Order constitutes an offer by the Customer to purchase Goods in accordance with these Conditions.

2.2 The Order shall only be deemed accepted when Hooga Playroom issues written confirmation or dispatches the Goods.

2.3 Product images, descriptions, samples and marketing materials are provided for guidance only and do not form part of the Contract.

3. Goods & Product Information

3.1 Goods are described in Hooga Playroom’s catalogue, website or wholesale price list.

3.2 Hooga Playroom reserves the right to make reasonable changes to product design, packaging or specifications where required by law or suppliers, without affecting overall quality.

4. Pricing

4.1 Prices are as stated in the Order and are exclusive of:

  • VAT
  • delivery charges
  • customs duties (where applicable)

4.2 Hooga Playroom reserves the right to amend prices prior to order acceptance due to cost increases beyond its control.

5. Payment Terms

5.1 Payment terms are as agreed in writing (pro-forma, advance payment, or approved credit terms).

5.2 All invoices must be paid in full by the due date.

5.3 Late payments may incur interest at 4% above the Bank of England base rate, calculated daily.

5.4 Hooga Playroom reserves the right to suspend supply if payment is overdue.

6. Delivery

6.1 Delivery dates are estimates only and time shall not be of the essence.

6.2 Risk passes to the Customer upon delivery to the agreed delivery address.

6.3 The Customer must inspect Goods immediately on delivery and notify Hooga Playroom of any shortages or visible damage at the time of delivery.

6.4 Claims for shortages or defects must be submitted in writing within 7 Business Days of delivery.

7. Title & Risk

7.1 Title to the Goods remains with Hooga Playroom until full payment has been received.

7.2 Hooga Playroom reserves the right to recover unpaid Goods from the Customer’s premises if payment is not made.

8. Quality & Returns

8.1 Hooga Playroom warrants that Goods will be free from material defects at the time of delivery.

8.2 If Goods are proven defective, Hooga Playroom may, at its discretion:

  • replace the Goods
  • repair the Goods
  • issue a credit note

8.3 Returns must be authorised in writing before being sent back.

8.4 No returns are accepted for:

  • sale or discounted items
  • normal wear and tear
  • misuse or incorrect storage

9. Brand Protection & Sales Channels

To protect the Hooga Playroom brand, the Customer agrees:

9.1 Not to sell Hooga Playroom products via:

  • third-party marketplaces (including Amazon, eBay, TikTok Shop) without written consent
  • discount, clearance or market-style channels that damage brand positioning

9.2 Not to use Hooga Playroom products for:

  • bundle promotions
  • giveaways
  • tie-in sales
     without prior written approval.

9.3 Hooga Playroom reserves the right to terminate supply immediately if brand guidelines are breached.

10. Intellectual Property

10.1 All intellectual property rights in the Goods, images, branding, and marketing materials remain the property of Hooga Playroom.

10.2 The Customer is granted a non-exclusive, non-transferable licence to use approved images solely for selling Hooga Playroom products.

11. Limitation of Liability

11.1 Hooga Playroom’s total liability shall not exceed the total value of the Goods supplied under the Order.

11.2 Hooga Playroom shall not be liable for:

  • loss of profits
  • loss of business
  • indirect or consequential loss

11.3 Nothing limits liability for death, personal injury, fraud, or liabilities that cannot be excluded by law.

12. Force Majeure

Hooga Playroom shall not be liable for delays or failure caused by events beyond its reasonable control, including but not limited to supplier disruption, transport delays, pandemics, or government action.

13. Termination

13.1 Either party may terminate the Contract with one month’s written notice.

13.2 Hooga Playroom may terminate immediately if:

  • payment is overdue
  • the Customer breaches brand or sales channel rules
  • the Customer becomes insolvent

14. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United Kingdom.
